("AE P2C")

 

RULES OF THE CALL FOR EXPERIMENTATION

 

The purpose of the Rules is to define the conditions and rules of participation in the P2C EA.

 

Participation in the P2C EA implies full and unreserved acceptance of these Rules. If you do not agree with the terms of the Rules, you should not register or participate in this AE. 

 

 

  1. Duration of the EI

The call for experimentations in December 2021 following the success of the operation and will continue throughout 2022. The AE P2C is accessible 24 hours a day on the website dedicated to the AE P2C published by Agorize and accessible at the URL:  [https://paris2connect.agorize.com/] ("the AE Site"), subject to possible computer maintenance operations or malfunctions. The above dates and times are considered as Paris time.

 

  1. Acceptance of the Regulations

Any organization registered on the P2C EA Site and in the P2C EA ("Participant") must acknowledge and expressly accept the Rules. By accessing and accepting the Rules, You :

  • Have entered into a binding contract with the Organizers. Provided that registration and participation in the P2C EA does not, in any way, create a relationship of subordination between the Organizers and the Participant; and
  • Agree fully and unreservedly to abide by these Rules and Regulations in all their provisions. Acceptance is by means of an online checkbox to be checked when registering for the P2C EA.

Failure to comply with the aforementioned rules will result in immediate cancellation of participation.

 

  1. Registration and participation in the P2C EA

To participate in the P2C AE, we must have received your complete registration before October 29, 2021 at 5:00 pm for the first wave of projects and November 26, 2021 at 5:00 pm for the second wave.

 

In order to participate in the AE P2C, the Participant must have created a user account on the AE P2C website, and filled in the required information in a fair and complete manner, such as name, surname, e-mail address, etc.

Participants who have not provided proof of their complete contact information and identity or who have provided it inaccurately or falsely will be disqualified. The information provided by the Participant as part of his registration to the P2C AE is his responsibility and any error, anomaly, inconsistency, intentional or not, relating to the information provided by the Participant will lead to his disqualification.

The organisers reserve the right to carry out any necessary checks on the identity and e-mail address of the Participants.

The deletion of a Participant's user account on the AE P2C Site will be considered as an abandonment of the latter's participation in the AE P2C. In this case, the Participant, even if he/she is able to prove that this deletion is not his/her fault, will not be able to rejoin the AE P2C, nor will he/she be able to obtain any compensation from the organizers.

Similarly, to participate in the P2C EA, the Participant must have accepted these Rules as well as the Terms and Conditions and the Privacy Policy of Agorize, when registering and creating the user account.

 

  1. Conditions for participation in the P2C EA

The AE P2C is open to all experimentation initiators, whether they are companies (including start-ups, industrial and commercial establishments), associations, laboratories, universities, schools, etc.

Applicants must commit to the conditions for implementing their experiments (resources, deadlines, etc.).

No financial support or compensation is foreseen. The Paris2Connect consortium and the City of Paris are mobilizing to provide you with quality data and connectivity that will allow you to implement your proposals in real conditions and make the most of them.

When the applicants to the AE specify their proposal (by completing their application file via the Template of the application form) they will have to define the datasets required to implement their innovative solutions. They may specify if their innovative solutions require the use of additional data (other than those provided by the "Paris2connect" infrastructure, for example those open to the RATP or the City of Paris). The installation of data collection tools in public spaces (e.g. sensors) may be considered. It will be conditioned by the constitution of a complete file (description, plans, estimates,...) which will be submitted for validation to the Paris2Connect consortium and the City of Paris. If the file is validated, the intervention will be the subject of an agreement with the City of Paris. All costs related to this type of approach will have to be covered by the solution provider.

The Paris2Connect consortium and the City of Paris will be extremely vigilant to ensure compliance with regulations (CNIL, RGPD), and to respect the ethical clauses that are essential in the development of the uses. If the proposed innovative solution requires the use of personal data, this is expected to be done within the framework of a subcontracting contract in the sense of the RGPD with the City of Paris, as the Data Controller.

 

  1. Principle of the P2C EA and modalities of participation

The AE P2C consists in the realization by the Participants of contributions (or project) formalized by deliverables, meeting the requirements set by the organizers in the AE P2C brief. This brief includes information such as the different deadlines, the requirements of the organizers, etc. ("the Brief"). The Brief is available on the P2C RA Website.

 

 

  1. Deliverables

During the AE P2C, Participants may submit, via the AE P2C Site, any document or file (such as texts, presentations, videos, etc.) related to their project as an answer, solution and result to the organizers' AE P2C (the "Deliverable").

To be valid, the Deliverables must (i) address the specific problem posed in the Brief, (ii) be in a standard digital format, such as doc, docx, pdf, ppt, pttx, key, odt, mp3, mpeg, mov, mp4, (iii) be in French, and generally comply with the requirements of the Rules.

If a Deliverable cannot be uploaded, is not in the correct format, or is incompatible, illegible or unintelligible, it will be disqualified.

By submitting a Deliverable, Participants represent and warrant that:

The Deliverable consists solely of contributions from an individual participant or a team.

Otherwise, if third party content has been used in the preparation of the Deliverable, all necessary rights, permissions and agreements to submit the Deliverable and grant the rights mentioned herein have been obtained. The existence of a third party contribution in violation of these rights will result in the disqualification of the Deliverable and the Participants concerned.

 

No other natural person and/or legal entity in any form whatsoever may claim any rights from the use of the deliverable.

The content of the Deliverable does not and will not violate any third party rights, including (but not limited to) intellectual property rights, privacy rights, competition law, confidentiality, or any other contractual or non-contractual rights. Any deliverable suspected of violating third party rights and/or law(s) will be ineligible for P2C EA.

Participants are responsible for all costs and expenses related to the preparation and submission of Deliverables. Participants are solely responsible for damaged, lost, delayed, incomplete, invalid, incorrect or misdirected Deliverables.

 

  1. Conduct of the P2C EA

This AE P2C will be launched on September 23, 2021.

Information meetings will be held in the field and remotely from the end of September.

Selections process will be held on february 28th and may 2dn 2022. Ftures dates will be announced later.

 

From then on, the contractual closing can take place with the city of Paris and the Paris2Connect consortium in order to organise the implementation according to the conditions agreed between the parties.

An initial assessment of the operation will be made at the end of Q2 2022.

At the end of 2022, a global evaluation will be carried out and presented to the departments and elected officials of the City of Paris.

Deliverables. Failure by a Participant to submit a Deliverable on the P2C RA Website by the deadline shall be deemed to be a withdrawal from participation in the P2C RA. The Participant will not be able to re-enter the AE P2C, nor will he/she be able to obtain any compensation from the organizers.

Notification to Participants. Once the selection process is complete, Participants will be notified by email, at the sole discretion of the organisers, of the results of each selection stage. The organisers shall be free to change the dates on which the results are communicated in the event that the number of projects to be examined makes such a change necessary.

 

  1. Selection stage

The jury will examine the applications and will reject those that are ineligible or insufficiently detailed.

A committee of experts will be responsible for selecting the proposed projects on the basis of :

                An application file submitted,

                A hearing of the eligible innovative solution providers during which they will be invited to present their project orally.

 

  1. Selection criteria

Projects will be judged according to the selection criteria outlined below. The Participant acknowledges that he/she is aware of and accepts that the proposed P2C EA will require creativity, sagacity, skill and ingenuity to solve complex problems. The P2C EA is not dependent in any way, even partially, on chance and luck and therefore cannot be analyzed or likened to a lottery.

The proposed projects must provide added value to the territory, as highlighted in the response.

The evaluation and selection criteria for the projects will be :

  • Innovative nature of the proposed solution (more or less already marketed or not)
  • Technical feasibility of the project
  • Previous references of the solution provider and level of maturity of the proposed solution
  • Relevance and impact of the project: Potential benefits of the project for decision-makers, for other administrations, for users, for public agents, and other beneficiaries.
  • Potential replicability
  • Project duration, iteration frequency
  • Project organization: dedicated resources (qualitative and quantitative) in man-days over an indicative period (project team), governance and capacity of the organization to succeed in the project within the chosen scope and timeframe.

 

It is reminded that no financing is planned. However, project leaders may have or apply for funding from current windows (e.g. BPI).

 

  1. Communication

The Participant acknowledges and agrees that the organizers may, in France, for the duration of the AE P2C and for a period of one (1) year following the Final, use the AE P2C for advertising purposes, including communication and marketing of the organizers, whatever the format, means and medium (website, banner ads, social networks, newsletter, press release, etc.), known or unknown to date, free of charge or against payment.

To do so, you consent to the use by the organizers of your image and the content of your deliverables related to the P2C AE. For example, each Participant authorizes the organizers to use the photographs taken during the Final in order to broadcast them on any communication medium.

Any communication project by the Participant, in particular by way of publication, presentation in any medium or form whatsoever, relating to the Paris2Connect project must receive the prior written consent of the organizers.

This use does not entitle you to any remuneration, nor does it require any additional consent on your part. The organisers expressly undertake to cease all use of the above-mentioned elements in connection with the Participant at the end of the above-mentioned period.

 

  1. Privacy

The organizers of the AE P2C are under no obligation to keep confidential the information contained in the Deliverables submitted by the Participants. In general, by submitting a Deliverable, Participants acknowledge and agree that the information contained therein may be disclosed to the public by the organizers.

If you are a winner, the organizers may ask you to sign a confidentiality agreement in order to enter into negotiations regarding the development of your project as described in your Deliverable. This confidentiality agreement will cover your Deliverable and the intellectual property rights associated with it.

 

  1. Intellectual Property

Definitions. For the purposes of this section, the following definitions apply

Intellectual Property Rights" means any copyright or other rights relating to a trademark, design, patent and, more generally, any item (including trade secrets and know-how) that may be protected by national and/or international laws or conventions relating to intellectual property ("Intellectual Property Rights");

Prior Rights" means any intellectual property rights and/or associated know-how owned by Participants prior to the start date of the P2C EA ("Prior Rights");

Creations" means any software (including source code and object code), database, technical specification, text, design, model, information, knowledge, method, process or product, as well as any element and/or process resulting therefrom, developed by a Participant as part of a Deliverable submitted during the P2C AE and which may be protected or may be susceptible to protection under applicable national and/or international intellectual property laws and conventions ("Creations")

Non-Infringement Guarantee. By submitting a Deliverable, at any stage of the P2C EA, each Participant warrants to the organizers that he/she is the co-owner and/or co-owner of the Intellectual Property Rights to all or part of the Creations contained in the Deliverables, and that he/she has obtained all necessary rights and permissions to such pre-existing or third party Creations.

Each Participant guarantees that: (i) his or her Contributions are original and unpublished; (ii) his or her Contributions do not infringe the rights of any third party; (iii) all elements comprising his or her Contributions as well as all information communicated in the Deliverables are accurate, reliable and complete; and (iv) submission of the Deliverables does not constitute an act of unfair competition.

Participants must include the source of all pre-existing Creations included in the submitted Deliverables. Any Deliverable that has been developed by more than one Participant constitutes a collaborative work and should be treated as such under the applicable rules in effect.

Liability. The organisers shall not be held liable in any way for any breach by Participants of the above provisions. Each Participant shall indemnify the organisers against any claims, oppositions, actions, or attempted eviction by a third party, relating to any of the Creations contained in the Deliverables (including the associated intellectual property rights).

 

  1. Amendment of the Rules, Suspension and Cancellation of the P2C EA

Updating of the Rules. The Organizers reserve the right to modify the provisions of the Rules at any time, including the duration of the P2C AE if operational requirements dictate, without requiring any notification to the Participant for the application or validity of such modifications. The Participant is encouraged to review the Rules regularly. The Participant expressly waives any claim or challenge relating to any changes made to the Rules by the organisers.

In the event that one or more provisions of the Rules are deemed illegal, null and void, unenforceable or inapplicable by a court decision, the other provisions of the Rules shall remain in force.

Suspension or Cancellation of the P2C EA. The Organizers reserve the right, at its discretion, to (i) cancel, terminate, modify or suspend the P2C EA and the Rules for any reason at any time without liability, and (ii) limit or restrict participation in the P2C EA. The Organizers shall not be liable for any modification, cancellation or suspension of the P2C EA, and no compensation or remuneration shall be due to Participants.

 

  1. Limitation of liability

The organisers cannot be held responsible for any disruption to the Internet network or for access difficulties due to a large number of participants or connections. They can in no way be held responsible for communication or access interruptions, loss of data, computer viruses or any direct or indirect prejudice whatsoever, which may be suffered by a Participant before, during and after his participation in the AE P2C.

The organisers shall not be held responsible for any facts or damages that are not directly or indirectly attributable to them, in particular those resulting from errors or delays in the submission of the Deliverables by the Participants, including the refusal to accept these Deliverables due to their submission outside the scheduled dates, damages resulting from errors or delays in sending emails by the Participant in the context of the P2C AE, as well as damages resulting from any alteration made to the Deliverables beyond the control of the organizers, or from an event of force majeure likely to disrupt, modify or cancel the P2C AE.

Consequently, Participants waive any recourse against the organizers and its employees for damages and/or harm they may suffer in the context of the AE P2C.

The organisers cannot be held responsible for any incident that may occur in the context of the services provided under the prizes, and any responsibility in this respect lies with the third-party company or companies with which the winners contract directly.

The organisers shall in no way be held responsible for the consequences of a Participant's disqualification due to the latter's violation of the Rules.

If the use case exceeds the capacities committed by the group/participant, an exchange may take place to specify the technical-economic modalities and the exploitation.

 

  1. Protection of personal data

The Participant's Personal Data as well as the personal data captured by the infrastructure are subject to processing within the meaning of the regulation on the protection of personal data (Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 known as the "RGPD") for which the organisers define the purposes and means and are, as such, responsible for this processing within the meaning of the RGPD for the Participant's data.

 

The purposes of this processing are :

  • to meet the needs of the call for experimentation;
  • to organize the intermediation between the Participant and the Partner Organization, to ensure the identification, communication and conservation of the exchanges with the Participant;

 

In accordance with the provisions of the RGPD, the organisers undertake to implement organisational and technical security measures to protect all Personal Data. Similarly, the organizers undertake to allow Participants to exercise their rights under the RGPD.

 

  1. Claims

Any complaint from a Participant relating to the P2C AE must be sent no later than 30 days after the end date of the P2C AE to the email address: contact@smartuse.org. All complaints must include: (i) full contact details (organization name, address, email address and telephone); (ii) the P2C RA reference; (iii) a clear and detailed explanation of the complaint.

 

 

  1. Applicable Law and Dispute Resolution

The Rules and the P2C EA are governed by French law.

In the event of a dispute persisting beyond a period of fifteen (15) days after the Participant has made a claim, the organisers and the Participant undertake to submit their dispute to amicable conciliation prior to any legal proceedings. The party wishing to enter into conciliation must inform the other party by registered letter with acknowledgement of receipt, in which it will make known its intentions and specify the cause. If no agreement is reached between the parties within thirty (30) days following receipt of the registered letter, the parties shall regain their freedom of action.

In the event of persistent disagreement on the application or interpretation of the Rules, and in the absence of an amicable agreement, any dispute that may arise between the parties shall be submitted to the exclusive jurisdiction of the (French) courts, to which the parties expressly grant jurisdiction, even in the event of multiple defendants, in summary proceedings, by appeal or by petition.
